Non-disclosure and Confidentiality Agreement
The attendees / investors (‘Recipient’), hereby agrees that all financial and other information (“Information”) that has received and will receive concerning Israel Innovation Expo is confidential and will not be disclosed to any other individual or entity without prior written consent. The Information shall remain the property of Israel Innovation Expo and shall be returned to Israel Innovation Expo promptly at its request together with all copies made thereof.Recipient agrees to hold all Confidential Information disclosed by Disclosing Party in strict confidence, not to make use of the Confidential Information for its benefit and/or for the benefit of others, except as permitted by Disclosing Party in connection with the Purpose, to reproduce such Confidential Information only to the extent necessary, to restrict disclosure only to its directors, employees and advisors with a need to know, subject to such persons consent to keep the Confidential Information undisclosed. The recipient acknowledges and agree that they must act adequately to compensate Israel Innovation Expo (and its exhibitors/clients) for a violation of this Agreement. Recipient hereby agrees that in addition to any other legal rights that may be available in the event of a breach hereunder, Israel Innovation Expo may seek equitable relief to enforce this agreement in any court of competent jurisdiction. The Receiving Party agrees to maintain in confidence such Confidential Information unless Disclosing Party authorized in writing. Neither party (nor any of such parties' affiliates) will disclose to any third party any confidential information of the other party obtained in the transaction of the subject business.EXPO MGMT REPRESENTS THAT THEY ARE NOT A LICENSED SECURITIES DEALER, AND THAT POSTED AGREEMENT IS NOT INTENDED FOR PURPOSE OF BUYING, SELLING OR TRADING SECURITIES. The EXPO management is a CONSULTANT only. This information is confidential and may not be forwarded unless Expo management is notified prior to forwarding such action in writing and approves in writing such prospect/s.
